| Textual Information(1) | Pursuant to the Resolution Plan approved by the Honble NCLT, Mumbai bench vide Order No- CP (IB) No. 1074/MB/2023 on November 27, 2024, and the Board Resolution passed on April 14, 2025 to cancel and extinguish all existing shares i.e. 1,04,19,600 equity shares of Rs. 10 each and 91,00,000 Preference shares of Rs. 10 each held by existing shareholders and allotment of 50,000 ordinary equity shares of Rs. 10 each to existing public shareholders in the ratio of 1: 98.35 as on record date i.e. 4th March, 2025. Further the Board in its meeting held on April 14, 2025 approved the allotment of 950,000 equity shares of Rs. 10/- each to the new Promoters (As mentioned in the Resolution Plan) of the Company, in compliance with the implementation of the Resolution Plan approved by the Honble NCLT, Mumbai bench on November 27, 2024 under Insolvency and Bankruptcy Code (IBC), 2016. Corporate Actions were submitted to the depositories (NSDL & CDSL) and awaiting the confirmations for listing approval from BSE. Since the Credit of shares in NSDL & CDSL is pending , the entire shareholding of 1000,000 equity shares [950,000 equity shares of Rs. 10/- each held by Promoters & 50,000 equity shares of Rs. 10 each held by public shareholders] is shown in Physical form. |

After completion of CIRP pursuant to and as metioned in the Resolution Plan, 95% shares will be held by public & balance 5% shall be held by the public. The NCLT Mumbai Bench approved the Resolution Plan in their order dated 27th November, 2024. Accordingly:- Shareholding of the public shareholders is reduced and reconstituted in a manner that immediately upon issuance of equity shares pursuant to the Approved Resolution Plan, the existing public shareholders shall constitute 5% (five per cent) of the post restructured issued and paid up share capital of the Company i.e., 50,000 (Fifty Thousand only) equity shares of the Company (Capital Reduction). Allotment of 50,000 (Fifty Thousand Only) Equity Shares is made to existing public shareholders at face value of Rs. 10/- each, aggregating to Rs. 5,00,000/- (Rupees Fifty Lakhs Only).
